Due Diligence
Due diligence is most commonly conducted during company acquisitions, as there is a risk that management may misrepresent or omit critical information.
The buyer expects due diligence to uncover all relevant facts about the target company prior to purchase.
Due diligence is also conducted during mergers and in the context of financing new ventures.
Company Valuation
Valuation is the process of determining the current value of assets or a business. A variety of methods can be applied, depending on the context and purpose.
Company valuations are often used in legal proceedings, when a shareholder exits a company, or in the buying and selling of equity interests.
- In static valuations, the appraiser focuses primarily on items reported in the financial statements. The value is determined based on the current financial position.
- In dynamic valuations, the appraiser focuses on factors such as management practices, capital structure, projected earnings potential, and the market value of assets.
